TERMS AND CONDITIONS

Welcome to ProtoPay.net, a service of Proteus Business Solutions, Inc. (“Proteus,” “we,” “our,” or “us”). By using our services, you (“Client,” “you,” or “your”) agree to be bound by the following Terms and Conditions.

Business Relationship Disclosure

ProtoPay.net operates as a wholly owned subsidiary of Proteus Business Solutions, Inc. and serves as a third-party integrator between you and one or more independent payment processing providers (“Processor Bank(s)”).

By entering into an agreement with ProtoPay.net, you acknowledge and agree that:

We are not a direct payment processor or financial institution.
All processing services are delivered by third-party Processor Banks, and you will be required to sign and agree to a separate Payment Processing Agreement with that third party.
You will be bound by the terms, conditions, and obligations of that Payment Processing Agreement in addition to this Terms and Conditions agreement.

Integration Role & Communications

ProtoPay.net provides technical, onboarding, and account support services related to the integration of payment processing between your business and the designated Processor Bank.

While we are not liable for the performance or service of the Processor Bank, we will facilitate communications, troubleshoot account issues, and act as your liaison to the Processor Bank to the best of our ability.

All concerns regarding payment processing must be submitted to us, and we will work with the Processor Bank on your behalf to attempt resolution.

Equipment Procurement & Ownership

If ProtoPay.net purchases payment processing equipment (including terminals or point-of-sale devices) on your behalf:

The equipment remains the property of ProtoPay.net unless explicitly purchased by you.
In the event you terminate the integration or your payment processing services with us, you are required to return all provided equipment in working condition within 14 business days.
If equipment is not returned, lost, damaged, or withheld, you agree to be invoiced for and promptly pay the full replacement value of all unreturned equipment.

Termination of Service

Either party may terminate the services in accordance with the termination provisions of the relevant signed agreements. Upon termination:

You remain liable for any outstanding fees or costs incurred prior to the effective termination date.
All ProtoPay-owned equipment must be returned per Section 3.
You must separately terminate your relationship with the Processor Bank, following the terms outlined in your Payment Processing Agreement.

Limitation of Liability

ProtoPay.net is not liable for:

Any losses or damages arising from the acts, omissions, or performance of the Processor Bank.
Any transaction errors, delays, holds, or disputes related to the actual processing of payments.

Our role is integrative and consultative. You acknowledge and accept that the final authority on account decisions and transactional matters rests with the Processor Bank.

Modifications

We reserve the right to update or modify these Terms and Conditions at any time. Continued use of our services after any such modifications constitutes your acceptance of the revised terms.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
